Terms of Service

Project ownership, licensing, support, and transfer terms are defined in the written agreement for each project. Clients receive a perpetual license to use their delivered custom system. Base module IP remains with Veruthia Consulting, LLC.

Services

Veruthia Consulting, LLC provides software architecture, web development, automation, and consulting services. All deliverables are custom-built to client specifications. We provide a perpetual, non-exclusive license to use the delivered system. Base module intellectual property remains with Veruthia Consulting, LLC.

Payment Terms

Projects require a deposit before work begins. Final payment is due according to the written project agreement. Ownership and licensing terms are defined by project scope. All deposits are non-refundable once work has commenced.

Intellectual Property

Client receives a perpetual license to use the delivered custom system for their business operations. Source code for base modules remains the intellectual property of Veruthia Consulting, LLC. Client-specific customizations are licensed to the client upon final payment. Client may not resell, redistribute, or create derivative works for commercial distribution.

Limitation of Liability

Veruthia Consulting, LLC is not liable for any indirect, incidental, special, or consequential damages arising from the use of our services or digital assets. Our total liability shall not exceed the total amount paid by the client for the specific project.

No Guaranteed Results

Veruthia Consulting, LLC builds websites, automation, dashboards, and software systems intended to improve business operations and customer experience. Specific leads, revenue, rankings, or business outcomes are not guaranteed.

Confidentiality

Both parties agree to keep confidential information exchanged during the project private. This includes business processes, technical details, and any proprietary information shared during development.

Governing Law

These terms are governed by the laws of the State of Oklahoma, United States. Any disputes shall be resolved in the courts of Oklahoma.
